Terms of Service

1. Acceptance of terms
By accessing or using any service provided by npayload, operated by DevOps Crowd Inc., you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation.
2. Service description
npayload provides messaging infrastructure for autonomous systems, including message publishing with fan-out, priority queues, consumer groups, dead letter queues, webhook delivery, the Agent Session Protocol, three encryption modes, audit trails, cross-cell federation, event catalogue, Pipes workflow automation, marketplace, and SDKs.
3. Account registration and security
You must provide accurate information and maintain the confidentiality of your credentials, including API keys, OAuth tokens, and DPoP key pairs. You are responsible for all activity under your account.
4. Acceptable use
You must not use the Services for unlawful purposes, transmit malware or spam, bypass authentication or rate limits, reverse-engineer the platform, conduct attacks, infringe intellectual property, or resell the Services without consent.
5. Pricing and payment
Pricing tiers are published on our website and subject to change with 30 days notice. All fees are non-refundable except as required by law. Enterprise customers may negotiate custom terms.
6. Service level agreements
Starter tier has no uptime guarantee. Pro tier includes 99.9% monthly uptime. Enterprise tier includes 99.99% monthly uptime with one-hour response for critical incidents. Scheduled maintenance with 48 hours notice is excluded.
7. Data ownership and intellectual property
You retain all rights to your data. We own all intellectual property in the Services, including the platform, APIs, SDKs, protocols (including ASP), and trademarks.
8. Privacy and data protection
Our Privacy Policy is incorporated by reference. We support data residency requirements and GDPR Data Processing Agreements upon request.
9. Confidentiality
Each party agrees to protect non-public information received from the other, including API keys, pricing, and technical architecture. Confidentiality survives termination for three years.
10. Limitation of liability
npayload is not liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the amount paid during the twelve months preceding the claim, or one hundred Canadian dollars, whichever is greater.
11. Indemnification
You agree to indemnify npayload from claims arising from your use of the Services, violation of these terms, or content you transmit.
12. Suspension and termination
We may suspend access for violations or security risks. You may terminate at any time. Data is retained for 90 days after termination for export.
13. Modifications
We may modify features with 30 days notice for material changes. Core features will not be removed during your billing period without an alternative or refund.
14. Governing law
Governed by the laws of Quebec, Canada. Disputes go through 30-day negotiation, then binding arbitration in Montreal through the Canadian Commercial Arbitration Centre.
15. General provisions
These terms constitute the entire agreement. Unenforceable provisions do not affect the rest. Assignment requires consent except in mergers or acquisitions.
